Uxbridge Skating Club - Annual General Meeting

NOTICE OF MEETING

Virtual Meeting to be held by Zoom

The 2021 annual general meeting (the meeting) of the Uxbridge skating club (the club) will be held virtually through zoom on Monday, June 7, 2021 at 7 p.m.  One parent of each registered skater, under the age of 18, is eligible to vote on behalf of their child.  A parent with more than one registered skater is permitted one vote for each child.  Registered members 18 years of age or more may exercise their own vote.

If you are unable to attend by Zoom, please consider proxy voting.

Proxy voting – every member entitled to vote at a meeting of members may, by means of a proxy, appoint a proxy holder to attend and vote on behalf of the member.  Each proxy holder shall be a delegate and may carry a maximum of 6 proxies.  If you would like provide a proxy please contact us for a form.  Proxys must be completed and submitted by June 2, 2021.

Current nominations to the board of directors include Kyle Blair, Laureen Dubeau and Kayla Woodrow.  Further nominations may be made in writing (by e-mail) by any member in good standing by a submission to info@uxbridgeskatingclub.com, at least 5 days before the meeting.  Each nominee must indicate acceptance no later than 3 days before the meeting.  Nominations from the floor at the meeting will not be accepted.

The order of business for the meeting will be as follows:

1. Call to order
2. Confirmation of quorum
3. Approval of agenda
4. Approval of the minutes of the 2020 annual general meeting
5. Presentation of reports
   1. President report
   2. Treasurer report (annual financial statements)
   3. Program report
6. Approval of amendments to the by-laws
7. Election/acclamation of directors
8. Approval of extraordinary resolution with respect to April 30, 2022 financial statements
9. Appointment of independent accountant
10. Adjournment

Under the Ontario Corporations Act, the club must hold an annual meeting of its members at which a minimum number of members are needed to be present, either in person or by proxy.  The meeting cannot be called to order unless this minimum number is met.  Attendance at the annual meeting does not require any commitment to serve on the board of directors for the club.  Your attendance merely assists the club in conducting its business.
